General sales conditions

The following general sales conditions are systematically included in all the application files sent with the registration form by NGC, designated as the organizer. Consequently, the fact of filling in the registration form implies for an exhibiting company the total acceptance of these general sales conditions without reserve, except for documents such as advertising leaflets and catalogues emitted by NGC, the value of which is only informative. No particular condition whatsoever can prevail against the general sales conditions if it has not been the object of written authorization by NGC. Therefore no contrary condition opposed to the exhibiting company will be opposable to NGC, at whatever moment it may be, unless expressly accepted.


Article 1-Registration and allocation of stands
Registrations will not be accepted if not accompanied by the corresponding deposit and within the limit of available spaces and angles. No registration can be taken into account without payment of a deposit. Registration will only be confirmed after value date of credit or payment on NGC ‘s bank account.
In case of a participation demand exceeding the stands and angles offer, priority will be given to the exhibiting companies upon reception of their registration form and payment to the 2010 AfWA Congress on a first come-first served basis. No registration will be considered if the exhibitor has not paid all the invoices relative to the previous exhibitions.

Article 2-Price and fluctuation
The price for the corresponding exhibition is fixed in the registration form.

Article 3-Cancellation
•Exhibitors may cancel their participation under the following conditions:
Two months previous to the exhibition opening, NGC will settle a 50% account in favor of the exhibiting company, the 50% balance remaining to NGC to cover the fees already involved.
After this time period, the total payment including the additional orders will be due and payable to NGC, according to the invoice (including the deduction of the deposit)
after the exhibition is over.
•IN CASE OF CANCELLATION BY NGC, CONDITIONS ARE AS FOLLOWS:
AFTER THE SENDING OUT OF REGISTRATION FORMS AND WHATEVER BE THE REASONS, NGC MAY CANCEL THE EVENT IF ITS ORGANIZATION CANNOT BE COMPLETED. IN SUCH A CASE THE DEPOSITS PAID BY THE EXHIBITING COMPANIES WILL BE TOTALLY REFUNDED BY NGC, EXCEPT FOR ADDITIONAL DAMAGES NOT LINKED TO FORCE MAJEURE.

Article 4-Payment conditions
Acceptance of general sales conditions by the exhibitor will imply his commitment to pay his participation in two phases:
- 1st phase: 50% of surface price upon registration (deposit) by either bank or postal check to the order of NGC Navaloo (to be sent by certified mail with confirmation of receipt): at the latest on 31st January 2010.
- 2nd phase: the rest of the surface price to be paid by 45 days before the exhibition opening date, either by check to the order of NGC Navaloo (to be sent by certified mail with confirmation of receipt) or by bank transfer (see IBAN here below). A delay will lead to delay penalties amounting to 1.5 times the legal interest rate.

Article 5-Guarantees of payment
Every exhibitor is committed, as soon as he is registered, to respect and cope with the payment deadlines relative to his participation.
The non-respect of this clause enables NGC to ask for immediate payment of the amounts still due or to cancel the exhibitor’s participation to the given event. The exhibitor has the obligation to inform NGC of any change likely to lead to insolvency, suspension of payment or delay in the payment of due date, in order for NGC to determine the measures to be taken such as guarantees or payment by cash before the exhibition opening.

Article 6-Force majeure
A case of force majeure, and in particular in the case of national strikes, delays in supplies, wars, actions by public authorities or whatever unpredictable, irresistible and insurmountable event, independent from NGC’s will and making impossible any kind of service, as well as any problem due to international rules modifications representing an irreversible obstacle to the execution of these general sales conditions, void NGC’s obligations with respect to these conditions and thus relieve NGC of responsibility or damages which could result from them.

Article 7-Liability-Insurance
NGC has subscribed to a personal liability insurance contract to cover missions abroad and in particular for the organization of the AfWA Congress to be held from 15 through 18 March 2010. Every exhibitor will be entitled to subscribe to an insurance contract for potential damage caused to a third person, including other exhibitors, for which he could be held personally responsible. This contract receipt will have to be sent to NGC before the exhibition opening.
Globally NGC will not be held responsible for any incident beyond their control which could interfere in the running of the event and to cause prejudice to the exhibitors.

Article 8-Confidentiality
The organizer is committed to professional confidentiality and he therefore commits himself to respect the confidentiality of the information he may have access to within the frame
of these general sales conditions all along the duration of their execution. All the documents belonging to exhibitors, while held by NGC, will be considered as confidential as well as the pieces of information concerning the exhibitors, their products and the services they supply.

Article 9-Providers
In Kampala, the exhibitors will be able to use the transport logistics proposed by NGC. For installation of their individual pre-equipped booths, they will have the possibility to use NGC’s services for the general layout of the exhibition and of the equipped stands.
NGC declines all responsibility concerning services provided directly to the exhibitors by other service suppliers. NGC will not be held responsible for delays, errors, deterioration or thefts occurred because of these other providers. Plans will be asked for validation.

Article 10-Modification of general sales conditions
NGC reserves the right to modify at any moment the present general sales conditions and to inform the exhibiting company eight days before the new general sales conditions enter into force.

Article 11-Disputes
In case of dispute or protest linked to application, understanding, execution or termination of these general sales conditions, only French jurisdiction competence and French law will be referred to.

Article 12-Other terms
The present general sales conditions are established according to the financial regulations in force at the Munyonyo Commonwealth Resort, in particular as far as access and security of goods and people are concerned.
